  • All payments must be made in Indian Rupees (INR) unless otherwise agreed
  • Late payments may incur additional charges as specified in the project agreement
  • All prices are exclusive of applicable taxes unless stated otherwise

5.3 Project Timeline

Birla will make reasonable efforts to meet agreed-upon deadlines. However, timelines may be affected by factors beyond our control, including client delays in providing feedback, content, or approvals.

6. Intellectual Property

6.1 Client-Owned Content

Clients retain ownership of all content, data, and materials provided to Birla for project development. We will not use client content for any purpose other than the agreed project scope.

6.2 Developed Solutions

Upon full payment, clients will receive ownership rights to custom-developed solutions as specified in the project agreement. Birla retains rights to underlying frameworks, tools, and methodologies used in development.

6.3 Third-Party Components

Some solutions may incorporate third-party components subject to their respective licenses. Clients are responsible for compliance with such licenses.

7. Confidentiality

Birla respects the confidentiality of client information and will not disclose confidential information to third parties without express consent, except as required by law.

Both parties agree to maintain confidentiality regarding proprietary information, business strategies, and technical details shared during the course of the business relationship.

8. Warranties and Disclaimers

8.1 Service Warranty

Birla warrants that our services will be performed with professional skill and care. We will correct any material defects in our work at no additional charge within the warranty period specified in your project agreement.

8.2 Disclaimers

Except as expressly stated, our services are provided "as is" without warranties of any kind. We disclaim:

  • Warranties of merchantability or fitness for particular purpose
  • Guarantees of uninterrupted or error-free operation
  • Warranties regarding third-party services or components
  • Guarantees of specific business outcomes or results

9. Limitation of Liability

Birla's total liability for any claims related to our services shall not exceed the total amount paid by the client for the specific project giving rise to such claims.

In no event shall Birla be liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption, regardless of the theory of liability.

10. Force Majeure

Birla shall not be liable for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, or other force majeure events.

11. Termination

11.1 Termination by Client

Clients may terminate services with written notice. Termination fees and conditions will be as specified in the project agreement. Clients remain responsible for payment of work completed prior to termination.

11.2 Termination by Birla

Birla may terminate services for breach of contract, non-payment, or other material violations of these Terms with appropriate notice.

12. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Rajasthan, Gujarat.

14. Dispute Resolution

In the event of any dispute, both parties agree to first attempt resolution through good faith negotiation. If unsuccessful, disputes may be resolved through mediation or arbitration as mutually agreed.

15. Modifications

Birla reserves the right to modify these Terms at any time. Material changes will be communicated to clients with reasonable notice. Continued use of our services after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
